Subscription Agreement
This Subscription Agreement (the "Agreement") is made and entered into between Notifao (hereinafter referred to as "Notifao Technologies LLC") and the Subscriber ("Subscriber") on the date of acceptance of this Agreement.
Purpose
Notifao provides an online platform for funnel and website building and other marketing services (the "Service") to subscribers on a subscription basis. This Agreement sets forth the terms and conditions under which the Subscriber may access and use the Service. Notifao's Terms of Service can be found here https://notifao.com/terms-of-service and shall govern any terms not explicitly covered in this Agreement.
Subscription Term
The subscription term for the Service shall be as specified in the Subscriber's order form or other written Agreement with Notifao (the "order form"). The subscription term shall commence on the date of acceptance of this Agreement by the Subscriber. You can find the order form on our subscription page at https://notifao.com/subscribe or any other landing page that leads to the subscription purchase.
Subscription Fees
The Subscriber shall pay the subscription fees for the Service as specified in the order form. All subscription fees are non-refundable and will be charged through Stripe or Paypal, as defined in the order form.
Termination
Either party may terminate this Agreement upon written notice if the other party breaches any material term or condition of this Agreement or the terms of Service. The Subscriber's right to access and use the Service shall immediately cease upon termination.
Intellectual Property
The Service and all intellectual property rights therein are the property of Notifao and its licensors. The Subscriber shall not acquire any intellectual property rights in the Service by this Agreement.
Warranty Disclaimer
The Service is provided "as is" and "as available" without a warranty. Notifao does not warrant that the Service will be error-free or uninterrupted.
Limitation of Liability
Notifao shall not be liable to the Subscriber or any third party for any damages arising out of or in connection with this Agreement, whether such damages are direct, indirect, incidental, consequential, or otherwise.
The Governing Law
This Agreement shall be governed by and construed by the laws of the State of Washington.
Dispute Resolution
Any disputes arising between the parties regarding any Services provided by Notifao shall be resolved through communication with our customer support team. The Subscriber can contact the support team via email at support@notifao.com or through the support page on the Notifao website at https://notifao.com/support. Suppose the parties need more communication with customer support to resolve the dispute. In that case, they may seek resolution through mediation or arbitration. The rules of the American Arbitration Association shall conduct any mediation or arbitration. The parties agree that the mediator or arbitrator shall have the authority to award damages but not the power to award punitive damages. The parties further agree that the mediation or arbitration shall take place in the State of Washington.
Entire Agreement
This Agreement constitutes the whole Agreement between the parties concerning the subject matter. It supersedes all prior and contemporaneous agreements or understandings, whether written or oral. This Agreement may not be amended or modified except in writing, signed by both parties.
Waiver
The failure of either party to exercise any right provided for herein shall not be deemed a waiver of any right hereunder.
Severability
Suppose any provision of this Agreement is found to be invalid or unenforceable. That provision shall be enforced to the maximum extent possible, and the remaining provisions shall remain in full force and effect.
Assignment
The Subscriber may not assign this Agreement without the prior written consent of Notifao.
Acceptance of Agreement
This Agreement becomes effective upon the purchase of a subscription with Notifao. By purchasing a subscription, the Subscriber acknowledges that they have read and understand the terms and conditions of this Agreement and agree to be bound by them. Suppose the Subscriber does not agree to the terms and conditions outlined in this Agreement. In that case, they should not proceed with the subscription purchase.
